This Copyright Document (hereinafter referred to as the "Document") is created and executed on this 5th day of June, 2023 (the "Effective Date") by and between JP Ministries International Inc., a legally registered entity (hereinafter referred to as the "Copyright Holder"), and any individual or entity engaging with or utilizing the video and content produced by JP Ministries International Inc. (hereinafter referred to as the "Recipient").

WHEREAS, JP Ministries International Inc. holds the exclusive copyright ownership of the video and content (hereinafter collectively referred to as the "Copyrighted Materials") created and produced by it, and

WHEREAS, the Copyright Holder desires to protect its copyright ownership and control over the Copyrighted Materials, and

WHEREAS, the Recipient acknowledges and agrees to abide by the copyright laws and regulations governing the use, reproduction, distribution, and modification of the Copyrighted Materials.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the Copyright Holder and the Recipient (hereinafter collectively referred to as the "Parties") agree as follows:

1. COPYRIGHT OWNERSHIP:

   1. The Copyright Holder shall retain all rights, title, and interest in and to the Copyrighted Materials, including any copyrights, trademarks, or intellectual property rights associated with the Copyrighted Materials.

   2. The Recipient acknowledges and agrees that nothing in this Document shall be construed as a transfer, assignment, or license of any copyright or intellectual property rights from the Copyright Holder to the Recipient.

2. PERMITTED USE:

   1. The Recipient is granted a non-exclusive, non-transferable, revocable license to use the Copyrighted Materials solely for personal, non-commercial purposes.

   2. The Recipient may reproduce, display, perform, and distribute the Copyrighted Materials, provided that such use is in compliance with the terms and conditions outlined in this Document.

3. PROHIBITED USE:

   1. The Recipient shall not reproduce, copy, modify, adapt, translate, transmit, distribute, sell, rent, lease, or otherwise exploit the Copyrighted Materials for any commercial purposes without the prior written consent of the Copyright Holder.

   2. The Recipient shall not remove, alter, or obscure any copyright notices, watermarks, trademarks, or other proprietary rights notices affixed to the Copyrighted Materials.

4. INTELLECTUAL PROPERTY PROTECTION:

   1. The Copyright Holder reserves the right to enforce its intellectual property rights against any unauthorized use, reproduction, or distribution of the Copyrighted Materials.

   2. The Recipient agrees to promptly notify the Copyright Holder in writing of any known or suspected infringement or unauthorized use of the Copyrighted Materials by third parties.

5. TERMINATION:

   1. This Document shall remain in effect indefinitely unless terminated by either Party in writing.

   2. Upon termination, the Recipient shall immediately cease all use, reproduction, and distribution of the Copyrighted Materials and shall delete or destroy any copies thereof in its possession or control.

6. GOVERNING LAW AND JURISDICTION:

   This Document shall be governed by and construed in accordance with the laws of the jurisdiction in which the Copyright Holder is registered. Any disputes arising under or in connection with this Document shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.
